Google Insider Trading

Googleといえば今日はPPC Video Adsの話題が一番なのでしょうが、フォローしている人も多いので敢えて違う話題を。
(PPC Video Adsですが、Michael Arringtonは否定的なようですね。)

頭の中で瞬間的に「インサイダー取引」などと直訳すると、すわGoogleで株式の不正取引でもあったのか?なんて思ってしまいますが、まだそうと決まったわけではないようです。
O’Reilly のポストからリンクされているWelcome to NetSteering.Com, a Free Real Time Insider Trading Monitoring System!(こんなサイトもあるんですね)中の、「Learn Insider Trading>>」という箇所から定義をみていくと、以下のように記載されています。

1. Who are “Insiders”
Corporate officers, directors, and 10% owners
2. What is “Insider Trading”
Corporate insiders buy and sell stock in their own companies
3. Insider Trading Law
• Short-swing profits (profits realized in any period less than six months) by corporate insiders in their own corporation’s stock are prohibited
• Insider transactions must be reported to the SEC within two business days of the date the transaction occurred (2002 Sarbanes-Oxley Act)

SECのFiling資料を読んだことのある人ならよく目にする言葉なので既にお分かりでしょうが、要するに、発行会社の役員や10%以上の株主はみんな「Insider」で、彼らの(自社株)売り買いが「Insider Trading」であると。「Insider Trading」は2営業日以内にSECへの報告義務があり、6ヶ月以内の短期売買による利益獲得は違法であるということらしいです。一般的に、日本語で「インサイダー取引」と言うと未公表の情報を元に売買益を獲得する行為をダイレクトに指してしまいますが、英語の場合は「Insider Trading」だけでは内部者取引を意味するだけで、違法かどうかはまた別の話なのでしょう。

ということを踏まえたうえで記事の内容を見ていくと、カリフォルニア州の税収がGoogleの「Insider Trading」によって12%も増加した、それだけの売りが出るにはそれなりの理由があるのではないか、ということらしいです。引用されているDiggの記事が、その憶測を端的にまとめているので分かりやすいです。

If you take a look at Google’s insider trading sheet you will note that company insiders have sold off $6.5 Bn worth of stock while not buying a single share (some insiders have sold every last share). With rumors of click fraud running rampant one has to wonder if these people know something the rest of us don’t.

「Googleの連中が65億ドル分もの自社株を売却した(しかもその間に1株も購入していない)ことの背景には、”click fraud”の蔓延に関連して何か我々の知らない情報を彼らが掴んでいるからではないか。」
